Acceptance of Terms

By accessing and using the prismhaven website and services, you accept and agree to be bound by the terms and provision of this agreement. If you do not agree to abide by the above, please do not use this service. These terms apply to all visitors, users, and others who access or use our services.

We provide restaurant menu pricing consultancy services to businesses primarily in Luxembourg and the European Union.

Service Description

prismhaven provides professional consultancy services related to restaurant menu pricing, cost analysis, market research, and profit optimisation. Our services include but are not limited to:

• Menu pricing analysis and recommendations
• Cost structure evaluation and optimisation
• Market research and competitive analysis
• Menu engineering and psychological pricing strategies
• Ongoing monitoring and adjustment services
• Staff training and implementation support

User Obligations

When using our services, you agree to:

• Provide accurate and complete information about your business and requirements
• Cooperate in good faith during the consultancy process
• Maintain the confidentiality of any proprietary methodologies or information shared by prismhaven
• Use our services only for lawful business purposes
• Not attempt to reverse engineer or replicate our proprietary analysis methods
• Make timely payments for services as agreed
• Notify us promptly of any changes that may affect the delivery of our services

Payment Terms

Payment terms will be specified in individual service agreements. Generally, payments are due within 30 days of invoice date unless otherwise agreed. Late payments may incur interest charges as permitted by Luxembourg law. We reserve the right to suspend services for overdue accounts. All prices are quoted in Euros and exclude VAT unless specifically stated otherwise.

Confidentiality

We understand that you may share sensitive business information with us during our engagement. We commit to maintaining strict confidentiality of all client information and will not disclose your business data to third parties without your explicit consent, except as required by law. This confidentiality obligation continues after the termination of our services.

Intellectual Property

All content on the prismhaven website, including text, graphics, logos, images, and software, is the property of prismhaven SARL and is protected by copyright and other intellectual property laws. Our proprietary analysis methodologies, frameworks, and tools remain our intellectual property. While you receive the results and recommendations from our analysis, the underlying methods and processes remain proprietary to prismhaven.

Service Delivery and Results

We will deliver our services with professional care and expertise. However, business results depend on many factors beyond our control, including market conditions, implementation quality, and external economic factors. While we provide recommendations based on our expertise and analysis, we cannot guarantee specific financial outcomes or profit improvements. The success of our recommendations depends on proper implementation and ongoing management by your team.

Limitation of Liability

To the maximum extent permitted by Luxembourg law, prismhaven SARL shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including without limitation, loss of profits, data, use, goodwill, or other intangible losses, resulting from your use of our services. Our total liability for any claim arising from our services shall not exceed the amount paid by you for the specific service giving rise to the claim. This limitation applies whether the alleged liability is based on contract, tort, negligence, strict liability, or any other basis.

Force Majeure

We shall not be liable for any failure or delay in performance under these terms which is due to circumstances beyond our reasonable control, including but not limited to acts of God, war, terrorism, pandemic, government actions, or technical failures. In such cases, we will notify you promptly and make reasonable efforts to minimise any disruption to our services.

Governing Law

These terms of service shall be governed by and construed in accordance with the laws of Luxembourg. Any disputes arising from these terms or our services shall be subject to the exclusive jurisdiction of the Luxembourg courts. If you are located outside Luxembourg, you agree to submit to the jurisdiction of Luxembourg courts for any legal proceedings related to our services.

Termination

Either party may terminate ongoing services with 30 days' written notice. We reserve the right to terminate services immediately if you breach these terms or fail to make required payments. Upon termination, you remain obligated to pay for services already provided. Confidentiality obligations and intellectual property rights survive termination of these terms.

Modification of Terms

We reserve the right to modify these terms at any time. We will notify you of any material changes by posting updated terms on our website and updating the "last updated" date. Your continued use of our services after such modifications constitutes acceptance of the updated terms. For ongoing service contracts, material changes will be communicated directly and may require your explicit agreement.

Severability

If any provision of these terms is found to be unenforceable or invalid, that provision will be limited or eliminated to the minimum extent necessary so that these terms will otherwise remain in full force and effect and enforceable. The invalidity of any provision shall not affect the validity of the remaining provisions.
